Nordea Asian Stars Fund will be merged with Nordea 1 – Asian Stars Equity Fund
As a consequence of the merger, the merging fund, Nordea Asian Stars Fund, will cease to exist. All of its assets and liabilities will be transferred to the receiving Nordea 1 - Asian Stars Equity Fund. The merger will take effect on June 26th, 2024.
The merger will take place automatically and you do not need to do anything. If you have a regular savings plan on Nordea Asian Stars Fund, we will automatically move it to the Nordea 1 – Asian Stars Equity Fund.
The Nordea Asian Stars Fund is registered in Finland and the merger has been approved by The Financial Supervisory Authority of Finland. The Nordea 1 – Asian Stars Equity Fund is registered in Luxembourg and the merger has been approved by The Financial Supervisory Authority of Luxembourg.
Why are the funds being merged?
We are continuously working to improve our fund offering. The purpose of the merger is to simplify our fund offering which is done by merging similar or identical funds.
The merging funds are similar equity funds that invest in Asian companies or companies that conduct the majority of their business in Asia (excluding Japan). The funds promote environmental, social and corporate governance (ESG) characteristics through a proprietary Stars investment strategy. The funds have the same portfolio manager and risk profile and they adhere to the same investment strategy.
As a unitholder in the Nordea Asian Stars Fund, the merger will provide you with the benefit of greater fund size.
How does the merger affect the unitholders?
When the merger takes place, your units of Nordea Asian Stars Fund will be exchanged for units of Nordea 1 – Asian Stars Equity Fund. After this, you will own units in the Nordea 1 – Asian Stars Equity Fund.
Due to legal restrictions, a part of the fund’s holdings must be transferred to the receiving fund in cash, meaning these investments must be sold before the merger. As a consequence, the fund may not follow its investment strategy during the week of the merger and the week after it. The sale of investments may also be subject to foreign capital gains taxes, which will be deducted from the assets of the merging fund before the merger is executed.
The merger does not incur any costs for you. The transferral of units to another fund is not considered to incur a taxable capital gain to unitholders with a general tax liability in Finland.
Trading with the fund units
Units of the Nordea Asian Stars Fund can be bought and sold normally until the end of the trading day on June 19th, 2024, after which the fund will be closed for trading. When the merger has been finalized on June 26th, 2024, you can trade your units in the Nordea 1 - Asian Stars Equity Fund.
Please note that the Nordea 1 – Asian Stars Equity Fund complies to Luxembourgish bank holidays and that the clearing time of fund transactions is one trading day + three Luxembourgish banking days (T+3). Any exceptions in the trading days of the fund are reported in Finnish on nordeafunds.com/fi/poikkeukset-rahastojen-aukioloajoissa.
