The fund mergers result from Nordea entering into an agreement with Danske Bank to acquire its Norwegian personal customer and private banking business and associated asset management portfolios in Norway as well as balanced funds marketed in Norway.
The mergers are planned to be executed on 6 December 2024. The Danish and Norwegian Financial Supervisory Authorities as well as the Merging funds’ unitholders have approved the mergers and its terms.
Unitholders of the Merging funds will become unitholders of the Receiving funds, which means an increase in the number of fund investors and assets of the fund you own. The mergers will not affect the fund rules, investment strategy, expected risks and return or the sustainability factors of the Receiving funds. The mergers are not expected to have any significant effect on the allocation of the funds’ holdings nor are we planning any changes to the allocation of holdings before or after the merger date. Moreover there are no other terms or procedures relating to the Merging funds that would impact you as a unitholder.
In connection with the mergers, the assets and liabilities of the Merging funds will be transferred to the Receiving funds, and the Merging funds will be dissolved. The accrued income and expenses of the funds will be included in their net asset value, and will have an effect on the merger factor (exchange ratio) when the merger is executed. The mergers do not affect the number or the value of fund units you own in the Receiving fund nor incur any costs or taxes to you.
The merger happens automatically and you don't have to do anything about it.
Trading in fund units in connection with the merger
In connection with the merger, you may redeem or switch your fund units without fees, as usual. If you wish to redeem or switch your fund units before the merger, please submit your order before 11:00/16:30 Finnish time on 5 December 2024. Please note that any capital gains or losses realised in connection with the redemption or switch may affect your taxation.
